608.463 Service of process.–
(1) Process against a limited liability company may be served:
(a) In the case of a member-managed limited liability company on any member in accordance with chapter 48 or chapter 49, as if the limited liability company were a partnership and each member were a partner;
(b) In the case of a manager-managed limited liability company on any manager, but not on a member unless the member also serves as a manager of the limited liability company;
(c) In the absence of any person described in paragraph (a) or paragraph (b), as applicable, on the cashier, treasurer, secretary, or other person designated as an officer of the limited liability company, if any;
(d) In the absence of any person described in paragraph (a), paragraph (b) or paragraph (c), on any business agent residing in the state; or
(e) as an alternative to all of the foregoing upon the registered agent at the agent’s street address. However, if service cannot be made on a registered agent because of failure to comply with s. 608.415, service of process shall be permitted on any employee or on any employee of the registered agent.
(2) Any notice to or demand on a limited liability company organized pursuant to this chapter may be made:
(a) By delivery to a manager of the limited liability company, if the management of the limited liability company is vested in one or more managers, or by delivery to a member, if the management of the limited liability company is vested in the members.
(b) By mailing a writing, which notice or demand in writing is mailed to the registered office of the limited liability company in this state or to another address in this state which is the principal office of the limited liability company.
(3) Nothing contained in this section shall limit or affect the right to serve, in any other manner now or hereafter permitted by law, any process, notice, or demand required or permitted by law to be served upon a limited liability company.
